1. Introduction

Welcome to Jotr. These Terms of Service and End User License Agreement (the “Terms”) apply to the Jotr website, including jotr.ai and related subdomains, the Jotr macOS application, Jotr Pro features, local model download services, license services, payment flows, software updates, and support services (collectively, the “Jotr Services”).

By downloading, installing, accessing, using, or purchasing the Jotr Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Jotr Services.

Jotr includes free features and paid Pro features. It is independently developed commercial software for macOS, offered through direct distribution. Purchasing Jotr Pro gives you a license to use the paid Pro features made available under that license; it does not give you ownership of Jotr, its source code, models, branding, service infrastructure, or future features.

Jotr is a productivity tool. It does not provide legal, medical, financial, tax, psychological, safety, compliance, or other professional advice.

You must have the legal capacity to enter into these Terms. If you are under the age of majority in your jurisdiction, you may use Jotr only with the consent and supervision of a parent or legal guardian.

If you access, use, or purchase Jotr on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and references to “you” include that entity.

2. Service Provider

Jotr is operated by an independent developer. In these Terms, “Jotr,” “we,” “us,” and “our” refer to the developer who provides Jotr, unless a legal entity is later identified.

We receive formal communications through the email addresses above. Communications through social media, instant messaging, or third-party platforms are not formal legal notices unless we expressly confirm otherwise.

3. The Jotr Services

Jotr is a local-first macOS transcription and text-processing tool.

Free features may include:

Importing audio, video, or text files on your Mac;
Generating transcripts for short recordings, currently up to 20 minutes, on your Mac;
Basic export formats;
Other free features we may provide from time to time.

Jotr Pro features may include:

Fast transcription for longer recordings beyond the free limit;
Review Workspace;
Smart Summaries;
Synced Review Playback;
Professional Export;
Other Pro features added later.

Jotr Pro features may depend on a one-time local AI model download, currently about 3 GB. After the model is downloaded, related content processing primarily runs locally on your Mac. Future versions, additional models, new platforms, cloud services, or separately priced features may be sold separately unless the purchase page expressly states otherwise.

4. On-Device AI Processing

In the current version, Jotr’s ordinary content processing, including transcription, review, and summarization, runs on your Mac using on-device AI models. Unless you voluntarily provide content to us, such as by sending files, screenshots, or text through support communications, or a future feature clearly explains otherwise before use and obtains any required consent, Jotr does not send your audio, video, transcripts, reviewed text, or summaries to third-party AI services for processing.

Jotr does not use your User Content to train Jotr or third-party AI models unless we separately explain this and obtain your consent.

Any limited network communications are limited to the purposes described in Section 5 and are governed by our Privacy Policy.

5. Network Communications

Jotr may perform limited network communications for the following purposes:

Checking, downloading, or verifying software updates;
Downloading, verifying, or checking versions of local AI models;
Activating, deactivating, validating, or performing anti-fraud checks for Jotr Pro licenses;
Performing limited validation for Jotr Pro trial eligibility;
Processing payments, refunds, chargebacks, taxes, or purchase status;
Handling support communications, email subscriptions, promotional offers, discount requests, or unsubscribe requests that you initiate;
Security, anti-abuse, infrastructure operation, and necessary service diagnostics.

Jotr’s ordinary content processing, including transcription, review, and summarization, does not require a network connection each time it runs. We do not perform online validation every time you use a Jotr feature. After necessary setup, Jotr is designed to process local content in airplane mode or other offline environments.

Technical logs, license records, payment records, model download logs, update logs, and support communications may be processed by Jotr or third-party service providers for security, anti-abuse, licensing, payment, delivery, support, and operational purposes, as described in the Privacy Policy.

6. AI-Generated Content Notice

Some core Jotr outputs, including transcripts, AI-generated summaries, review suggestions, and text generated or transformed through automatic speech recognition, machine-learning models, or AI-assisted processing, may contain AI-generated or automated content.

Such content may include:

Misrecognitions, mishearings, or transcription errors;
Omissions, missing segments, or skipped content;
Hallucinations, meaning information not present in the source file;
Timestamp inaccuracies;
Misinterpretation of meaning;
Translation, polishing, or review errors;
Lost, reorganized, or incomplete context.

You understand and agree that:

Jotr outputs are not statements of fact, professional advice, or human-verified information;
You must not present Jotr outputs to others as human-written, independently verified, or authoritative unless you have personally reviewed and confirmed them;
You must not make important decisions with real-world impact based solely on Jotr outputs.

7. Accuracy and User Review Obligations

Jotr uses automatic speech recognition (ASR), text processing, machine learning, and AI-assisted summarization technologies. These technologies may produce inaccurate, incomplete, delayed, misleading, or unsuitable results.

Your obligations include:

Reviewing all Jotr outputs yourself;
Checking source files, including audio, video, or original text, when necessary;
Not making important judgments or decisions based solely on Jotr outputs;
Not using Jotr outputs as the sole basis for legal, medical, financial, employment, educational, safety, emergency, or other high-impact matters.

To the fullest extent permitted by applicable law, Jotr is not responsible for:

Your use of Jotr outputs without reviewing them or checking the source files;
Losses caused by your reliance on inaccurate, incomplete, delayed, or misleading transcripts, reviews, summaries, timestamps, exports, or other outputs;
Your sharing of Jotr outputs with others without appropriately explaining that they may have been generated by AI or automated systems;
Your use of Jotr outputs in scenarios prohibited or discouraged by these Terms.

8. No Professional Advice

Jotr does not provide legal, medical, psychological, financial, tax, compliance, insurance, immigration, employment, educational, safety, or other professional advice.

Any text, transcript, summary, translation, polishing, review, timestamp, or export generated by Jotr is provided for productivity and reference purposes only. If you need professional advice, consult a qualified professional.

9. Prohibited High-Risk Uses

Jotr is not designed, tested, certified, or warranted for the following uses. You must not use Jotr outputs as authoritative records, professional judgments, evidentiary basis, sole basis, or automated decision basis in the following scenarios:

Medical, mental health, crisis intervention, or psychotherapy contexts;
Legal proceedings, testimony, court filings, evidence preparation, or admissibility determinations;
Financial transactions, investment advice, tax handling, insurance decisions, or compliance reports;
Safety-critical operations, emergency services, life-safety systems, or high-risk infrastructure;
Decisions that materially affect another person’s employment, education, immigration, housing, credit, insurance, government services, or similar rights;
Communications involving minors without verified parental consent or applicable legal authorization;
Any content whose recording, transcription, processing, storage, or disclosure is prohibited by law.

In addition, regardless of the scenario, you must not use Jotr outputs as the sole or authoritative basis for high-impact decisions involving medical, legal, financial, safety, employment, education, housing, credit, insurance, or government services.

Any use of Jotr in prohibited or high-risk scenarios is entirely at your own risk and responsibility.

10. User Content

You retain ownership of audio and video files, text, transcripts, reviewed text, summaries, and exported files that you import into or generate with Jotr (collectively, “User Content”). Jotr does not claim ownership of your User Content.

You represent and warrant that:

You have all rights, licenses, and consents necessary to process your User Content;
Your User Content does not infringe any third party’s copyright, trademark, trade secret, privacy right, publicity right, contractual right, or other legal right;
You have complied with all applicable laws and regulations involving recording consent, copyright, confidentiality, employment, education, medical information, data protection, consumer protection, and similar matters;
You have not imported, processed, or exported any content subject to export controls, sanctions, confidentiality restrictions, national-security restrictions, or other legal restrictions unless you have obtained all required authorizations.

You are responsible for any breach of these representations.

11. License Grant

During the period in which you comply with these Terms and your license remains valid, Jotr grants you a limited, non-exclusive, non-transferable license to use Jotr for personal or business purposes. Jotr may revoke this license if you materially violate these Terms, as described in Section 20, “Termination.”

You must not:

Reverse engineer, decompile, disassemble, or attempt to extract Jotr’s source code, model protection logic, or licensing mechanisms, except where applicable law expressly permits it;
Bypass, crack, circumvent, disable, or interfere with Jotr’s licensing mechanisms, trial mechanisms, security mechanisms, model download restrictions, or protections;
Resell, rent, lend, transfer, share, publish, or disclose your Jotr Pro license;
Remove or modify Jotr’s copyright notices, trademarks, or branding;
Use Jotr to create a competing product, clone, or derivative service;
Bulk distribute the Jotr installer or modified versions without authorization.

License rules:

One Jotr Pro license currently permits activation on up to two Macs for your own use;
If you replace, lose, or materially change a device, or cannot unlink an old device, contact [email protected] for support;
Jotr may perform reasonable validation and restrictions to prevent abuse, fraud, cracking, or license sharing.

12. Free Trial

Free trials are provided at Jotr’s discretion and are intended only for genuine evaluation.

Jotr may refuse, limit, suspend, or revoke trial eligibility at any time based on signals or indications it considers relevant, including suspected abuse, automated requests, circumvention, abnormal usage patterns, repeated claims, bulk registration, or violations of these Terms.

Jotr has no obligation to disclose the specific basis for determining trial eligibility. Internal mechanisms for trial eligibility are not part of these Terms, and Jotr reserves the right to adjust, improve, or replace those mechanisms at any time.

A trial is not a permanent, transferable, or repeatedly obtainable right.

13. Purchases, Licenses, Payments, and Taxes

Jotr Pro is currently offered as a one-time license, not a subscription service, unless the purchase page clearly states otherwise. A one-time license gives you access to the Jotr Pro features made available under that license, but it is not a lifetime subscription, maintenance plan, or guarantee of access to all future versions or features.

Future major versions, paid upgrades, new products, additional models, cloud services, other platform versions, or separately priced features may require a separate purchase unless the purchase page expressly states otherwise.

Jotr may offer additional products, editions, plans, models, features, platforms, or services in the future. Jotr may decide, at its sole discretion, whether those items are free, included with an existing license, or separately priced.

The purchase page or checkout page may specify additional license terms, limitations, included features, or promotional conditions. If there is a conflict, the more specific terms presented at purchase apply to that purchase.

Purchasing Jotr Pro means purchasing a license to use Jotr Pro. It does not mean purchasing ownership of Jotr, its source code, models, branding, service infrastructure, or future features. The license is subject to the limits stated in these Terms, the purchase page, and the checkout page.

Payment processing:

Payments are processed by third-party payment providers;
Jotr does not directly store your full payment card information;
Prices, discounts, taxes, currencies, and availability are determined by the checkout page.

Your obligations:

Provide accurate and complete payment information;
Pay applicable taxes, including VAT, consumption tax, sales tax, or similar taxes;
Not use fake, stolen, unauthorized, or fraudulent payment methods.

If a chargeback, payment reversal, or payment fraud occurs, Jotr may suspend or revoke the corresponding license and reserves the right to handle the dispute as permitted by law.

14. Refund Policy

Within 14 days after purchase, you may submit a refund request to [email protected]. Refunds are not automatic and may be approved or denied at Jotr’s discretion, subject to applicable law.

We aim to respond to refund and support requests within 3 business days.

Jotr may decline refund requests in its discretion where:

The license has been used extensively after purchase, including processing a significant number of files, exporting substantial output, or using Pro features beyond what is reasonably necessary to evaluate the product;
The request is associated with suspected trial abuse, chargeback fraud, repeated refund cycles, or abnormal purchase patterns;
The user materially violated these Terms;
More than 14 days have passed since purchase;
The purchase was made through the Apple App Store, another app store, or a third-party platform, and that platform’s rules require the platform to process refunds.

If a refund is approved:

The refund will be returned to the original payment method unless the payment provider requires otherwise;
Your Jotr Pro license access will be revoked;
User Content generated locally before the refund remains yours, but you must not continue using the refunded license to access Pro features.

15. Software Updates, Model Updates, and Availability

Jotr may provide software updates, AI model updates, bug fixes, security patches, compatibility updates, or feature changes from time to time, but Jotr has no obligation to provide any particular update, feature, model, compatibility support, or support response permanently.

Model files may be large, and download time depends on your network, storage, and device condition.

The Jotr Services may be temporarily unavailable due to maintenance, upgrades, third-party service outages, network failures, payment service issues, email service issues, model distribution issues, force majeure events, or other causes.

Jotr does not guarantee that the services will be error-free, uninterrupted, completely secure, or available at all times. Jotr may modify, suspend, or discontinue any feature, model, update channel, download service, license service, or support channel at any time, subject to applicable law.

Where commercially reasonable, Jotr will try not to intentionally render User Content already generated locally on your Mac inaccessible or unusable solely because a product is discontinued or no longer maintained.

16. Privacy and Data

Jotr’s privacy practices are described in a separate Privacy Policy, which forms part of these Terms.

Core privacy commitments:

Audio and video files, transcripts, reviewed text, and summaries that you import or generate are not uploaded to Jotr servers unless you voluntarily send them through a support channel, or a future feature clearly explains this and obtains your consent;
Jotr does not use your User Content to train Jotr or third-party AI models unless separately explained and consented to;
Jotr does not build long-term usage profiles centered on User Content and does not store IP addresses in Jotr’s application database for content analysis, advertising tracking, or user profiling;
Infrastructure providers and third-party service providers may process limited technical logs for security, anti-abuse, payment, email delivery, license validation, and operational purposes, as described in the Privacy Policy;
Trial, license, payment, and promotional email data are used only for their corresponding functionality, anti-abuse, compliance, security, and operations;
Marketing emails may be unsubscribed from at any time.

If a future feature needs to send User Content or identifiable personal data to a third-party AI service, Jotr will provide a clear explanation before use and obtain your consent where required by applicable law or platform rules.

17. Acceptable Use

You must not use Jotr to:

Infringe another person’s copyright, trademark, trade secret, privacy right, publicity right, contractual right, or other legal right;
Record, transcribe, process, or disclose protected conversations without appropriate consent or legal authorization;
Process confidential, restricted, legally protected, export-controlled, or sanctions-restricted content that you are not authorized to process;
Bypass, crack, or circumvent Jotr’s licensing, trial, payment, model download, or security mechanisms;
Abuse free trials through automation, bulk registration, discount farming, license sharing, or interference with normal operations;
Attack, scan, scrape, stress-test, reverse engineer, or interfere with Jotr’s backend services, model distribution services, or payment flows;
Distribute cracked, modified, pirated, or license-bypassing versions of Jotr or related tools;
Present Jotr outputs as human-written, independently verified, or authoritative content;
Generate, process, or distribute content that violates the laws of your jurisdiction;
Engage in any activity prohibited by the “Prohibited High-Risk Uses” section of these Terms.

Violating this section may result in suspension or termination of your license, trial eligibility, or service access, and Jotr reserves the right to respond as permitted by law.

18. Third-Party Services and Open Source Components

Jotr may use third-party services for payment processing, email communications, software updates, model distribution, infrastructure support, security protection, diagnostics, and open-source component integration.

When your activities involve third-party services, such as payment flows, email subscriptions, model downloads, or software updates, you may also need to comply with the terms and privacy policies of those third parties.

Jotr does not control third-party services and, to the fullest extent permitted by applicable law, is not responsible for their availability, accuracy, security, content, policies, or compliance.

Jotr may include third-party open-source software, model-related components, dictionaries, frameworks, or runtimes. Related copyright notices and license texts will be provided in the app, on the website, or on a third-party notices page.

19. Intellectual Property

Jotr’s brand, name, logos, user interface, design, source code, model distribution system, website content, documentation, and related intellectual property are owned by Jotr or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You must not:

Copy, modify, distribute, sell, rent, or sublicense any part of Jotr;
Create derivative products, clones, or competing services based on Jotr;
Use Jotr’s brand, name, or logos without written permission;
Remove or obscure any copyright, trademark, license, or attribution notices.

User Content is excluded. You retain all rights to your User Content, and these Terms do not transfer ownership of your User Content to Jotr.

20. Termination

Your right to terminate: You may stop using Jotr and delete the application at any time.

Jotr’s right to terminate for violations: Jotr may suspend or revoke your license, trial eligibility, or access to the Jotr Services if:

You violate these Terms;
You engage in fraud, cracking, abuse, chargeback fraud, refund abuse, license sharing, or other improper conduct;
You violate applicable laws or third-party rights;
You attempt to bypass Jotr’s licensing, trial, payment, model download, or security mechanisms.

Discontinuation of services: If Jotr discontinues a feature, model, update channel, download service, license service, support channel, or the Jotr Services for business, technical, legal, security, or operational reasons, Jotr may stop providing those items and has no obligation to maintain them permanently.

Effects of termination:

Your Pro license or related access may become invalid;
You must stop using the terminated or revoked Jotr Services or Pro features;
Your local content, including audio, video, transcripts, summaries, and exported files, will not be deleted by Jotr; you are responsible for managing and backing up local data;
If Jotr stops selling or maintaining a Pro feature, we will use commercially reasonable efforts not to intentionally render User Content already generated locally on your Mac inaccessible or unusable;
Limitations of liability, disclaimers, user indemnity, intellectual property, dispute resolution, and other provisions that by their nature should survive will continue to apply after termination.

21. Disclaimer of Warranties

The Jotr Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, Jotr does not warrant that:

The services will be error-free, uninterrupted, completely secure, or permanently available;
AI outputs, including transcripts, reviews, summaries, translations, polishing, timestamps, and exports, will be accurate, complete, reliable, suitable, or fit for your particular purpose;
The services will work on every device, macOS version, network environment, file type, or language environment;
Any model, feature, price, license condition, or behavior will remain unchanged in the future;
Your local data will not be lost due to macOS updates, hardware failure, disk corruption, user actions, third-party software, or other causes.

We strongly recommend that you:

Back up important local files, transcripts, project history, and exports;
Not use Jotr as your only content storage method;
Check source files and professional sources before making any important decision.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Jotr and its developer will not be liable for any indirect, incidental, special, consequential, punitive, enhanced, or similar damages, including but not limited to:

Lost profits, lost revenue, lost business opportunities, or loss of goodwill;
Data loss, content loss, work interruption, device failure, or productivity loss;
Any loss arising from your reliance on inaccurate, incomplete, delayed, or incorrect transcripts, reviews, summaries, timestamps, exports, or other outputs;
Any loss caused by your failure to check source files when using Jotr outputs;
Any loss arising from your sharing, publishing, submitting, or using Jotr outputs in business workflows;
Monetary losses related to free features, free trials, free updates, free model downloads, or free support replies.

To the fullest extent permitted by applicable law, the total cumulative liability of Jotr and its developer for any claim, loss, or dispute will not exceed the amount you actually paid to Jotr for the Jotr license, feature, or service that gave rise to the claim.

If you did not pay Jotr any fees, or if the claim relates to free features, free trials, free versions, free updates, free model downloads, support replies, or unpaid use, Jotr and its developer will have no monetary liability.

To the fullest extent permitted by applicable law, your sole and exclusive remedy against Jotr is to stop using Jotr and, if eligible under the Refund Policy, request a refund of the amount you actually paid for the relevant license.

These limitations apply to all theories of liability, including contract, tort, negligence, strict liability, or any other legal theory, whether or not Jotr was advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In those jurisdictions, this section may not apply fully, but it will apply to the maximum extent permitted by law.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence where such exclusions are prohibited by law.

23. User Indemnity

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Jotr and its developer from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from:

Your violation of these Terms;
Your violation of any applicable law or regulation;
Your User Content infringing a third party’s copyright, privacy right, trade secret, publicity right, contractual right, or other right;
Your unauthorized recording, transcription, content processing, disclosure, or publication;
Your use of Jotr in prohibited or high-risk scenarios;
Your attempt to abuse, circumvent, bypass, or attack Jotr’s licensing, trial, payment, model download, or security mechanisms;
Your presentation of Jotr outputs as human content, independently verified content, professional advice, or authoritative sources;
Consequences caused by your failure to review, source-check, or appropriately rely on Jotr outputs;
Third-party claims arising from your use, content, outputs, disclosures, or violation of these Terms.

24. Governing Law and Dispute Resolution

First, good-faith negotiation: Any dispute arising from or relating to these Terms should first be addressed through good-faith negotiation. You agree to contact Jotr at [email protected] and provide at least 30 days for good-faith discussion before bringing any formal claim.

Second, jurisdiction and courts: Except where mandatory consumer protection law requires otherwise, disputes relating to these Terms will be submitted to the courts with competent jurisdiction in the location of the Jotr developer. This jurisdiction clause does not limit non-waivable consumer rights granted by applicable law.

Third, class action waiver: To the fullest extent permitted by applicable law, you waive the right to bring or participate in any class action, representative action, or consolidated action against Jotr. All disputes must be brought in an individual capacity.

Fourth, small claims exception: The above jurisdiction clause does not prevent you from bringing an appropriate matter in a small claims court in your jurisdiction.

Fifth, mandatory consumer protection: If your jurisdiction provides non-waivable statutory rights to consumers, these Terms do not deprive you of those rights. Where such mandatory consumer protection laws apply, the relevant provisions of these Terms will be enforced to the maximum extent permitted by law.

25. Third-Party Platforms and App Stores

These Terms are primarily intended for the direct-distribution version of Jotr sold through the Jotr website.

If Jotr is later distributed, sold, or subscribed to through the Apple App Store, another app store, or a third-party platform, that platform’s terms, refund rules, privacy disclosure requirements, and purchase rules may also apply. If platform rules conflict with these Terms, the platform rules will control only to the extent required for distribution or purchase through that platform.

If a platform requires use of its in-app purchase, subscription, refund, or licensing mechanisms, Jotr will provide the relevant version or purchase path according to that platform’s rules.

26. Changes to These Terms

Jotr may update these Terms from time to time. Material changes may be communicated through one or more of the following:

Website notice;
In-app notice;
Email notice, if you subscribed to our email list or provided a contact email;
Software update notes.

Your continued use of the Jotr Services after changes means you accept the updated Terms. If you do not agree, stop using the Jotr Services.

27. General Terms

Entire agreement: These Terms, together with the Privacy Policy, Refund Policy, and applicable third-party notices, form the entire agreement between you and Jotr regarding the Jotr Services and replace all prior oral or written agreements.

Severability: If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the maximum extent permitted by law to most closely reflect the original intent, and the remaining provisions will continue in effect.

No waiver: Jotr’s failure or delay in exercising any right under these Terms is not a waiver of that right.

Assignment: You may not assign these Terms without Jotr’s written consent. Jotr may assign these Terms in connection with a business transfer, reorganization, sale, succession, or other legally permitted circumstance.

Headings: Headings are for convenience only and do not affect interpretation.

Language: These Terms may be provided in multiple languages. If there is a conflict between versions, the English version controls unless applicable law requires otherwise.
